By accessing and using the ForgeNest Inc. ("ForgeNest," "we," "us," or "our") website located at forgenestinc.com (the "Site"), you accept and agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Site.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site following any changes indicates your acceptance of the revised Terms.

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

The ForgeNest name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ForgeNest Inc. You must not use such marks without the prior written permission of ForgeNest Inc.

ForgeNest develops proprietary manufacturing software, AI-driven toolpath generation systems, and related technologies. All information presented on the Site regarding our technology, processes, configurations, and capabilities is provided for informational purposes only. No information on the Site constitutes a license to use, reproduce, or reverse-engineer any of our proprietary technology.

Any information, inquiries, feedback, suggestions, or other communications you transmit to us through the Site ("Submissions") are non-confidential and non-proprietary. By sending a Submission, you grant ForgeNest a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, and distribute the Submission for any purpose.

You represent and warrant that you own or control all rights in and to any Submissions you make, and that no Submission will violate any rights of any third party.

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PROVIDED BY LAW, FORGENEST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FORGENEST DOES NOT WARRANT THAT THE SITE, ITS CONTENT, OR ANY SERVICES OFFERED THROUGH THE SITE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL FORGENEST, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT, SERVICES, OR MATERIALS AVAILABLE THROUGH THE SITE.

IN NO EVENT WILL FORGENEST'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

You agree to defend, indemnify, and hold harmless ForgeNest Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts located in St. Louis, Missouri. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

The Site may contain links to websites operated by third parties. These links are provided for your convenience only. ForgeNest has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites. Your use of third-party sites is at your own risk.

ForgeNest operates in the defense and aerospace manufacturing sector. Certain information, technology, or services may be subject to export control laws and regulations, including the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR). You agree not to export or re-export any information obtained from the Site in violation of any applicable export control laws.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and ForgeNest Inc. regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
